In accordance with the "Guiding Opinions on Establishing an Independent Director System in Listed Companies," the "Guidelines for the Standard Operation of Listed Companies on the Growth Enterprise Market of Shenzhen Stock Exchange," and the "Articles of Association of Henan Sifangda Superhard Materials Co., Ltd.," we, as independent directors of the company, have carefully reviewed the proposal titled “Proposal on the Use of Bank Acceptance Bills to Pay Funds for Investment Projects” submitted to the 12th meeting of the second board of directors. We believe that the use of bank acceptance bills to settle project payables, including equipment purchases and material costs, within the fundraising projects can enhance the efficiency of fund utilization. This approach aligns with the interests of shareholders and investors and does not interfere with the normal operations of the fundraising projects. Furthermore, it does not alter the nature of the investment or compromise the rights of the shareholders. Therefore, we fully support the company’s decision to utilize bank acceptance bills for these purposes.
